The candidate will be responsible for liaising with Corporate Development Department on all of the Corporations mergers, acquisitions, dispositions and franchising initiatives. Responsible for assisting with the Corporations financing initiatives, assisting with the preparation and review of SEC filings, including Section 16 form filings, and liaising with the Human Resources and the Treasury Department on benefits issues. Be the Law Departments point of contact for Corporate Development Department. Draft and negotiate letters of intent, term sheets, confidentiality agreements, stock purchase, asset purchase and merger agreements and related ancillary agreements. Oversee the Corporations subsidiary structure. Oversee the Corporations compliance with Section 16 of the 34 Act. Review and comment on benefit issues.
The candidate should have a J.D. degree with strong academic credentials. Should be admitted to the Bar and in good standing in Florida, or admitted to the Bar and in good standing in another state and eligible for limited licensure of in-house counsel in Florida. Must have 5
years of law firm or in-house experience. Corporate transaction experience required. This experience should include negotiating all documents associated with acquisitions and divestitures. Also should be familiar high yield, term, asset-based and asset-backed financing structures.Estimated Salary: $20 to $28 per hour based on qualifications.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
